Now they have till May 16th to file, the company is completely dependent on SUNE. I doubt they can do anything criminal to deprive TERP, but not sure if I am comfortable to hold the stock on pink sheets.

Does anyone think this is a game allowing to avoid something like a prosecution from Vivint?

If the product is good which it is, then lets use this opportunity to take advantage of it. I think this is a reboot in SUNE and TERP just got caught in the middle of it.

Unfortunately for me I'm at full position. I have a huge stake already in TERP so can't really think on adding more... But seeing it recover like this pre-market is helping me keep my sanity, but when the market opens is a totally different game. I should not be looking at the tape today..

I do not see an urgency to sell, mind you I was freaking out first. Two months is a long timeline, personally, I think there is a game being played. Maybe there are issues, but the game itself is condition now. There is no volume there. People may be getting up in the west but no volume panic.

I'm very surprised by the movement in PM. I would think it would be much worse! No complaints here. I still think long term-wise, this presents a golden opportunity?

Could someone help me understand what this means?

<<<SunEdison announced that its failure to file was due to "material weaknesses" in its internal controls tied to "deficient information technology." >>>

Maybe I am naive to think this, but the reasons are not traumatic, if you read the NR, they are about the pencil and paper not the content of the financial statements. That is why I think this is a game. If you are using software which is calibrated poorly or has something set poorly, this is a material weakness, however not finding anything as a result of this weakness is essentially confirmation that everything worked, but requires an audit of the process to make sure you are not in a material weakness. You are responsible for checking everything, however. It is not they are not going to file, however, dividend and recovery all of those things will be hinged on this act now. The reputation is at stake, but looking at this always has two sides. One a deliberately responsible action, as what they are doing now, or they cannot be trusted, and this is just a start.

What a version we are seeing is the question here.

    Anyone else with perspectives?

Only four people hold TERP here?

I let go the small amount of TERP I was still holding after their initial delay. I expect GLBL to have identical issues to TERP and not to file by the 30th (or 31st). I will reduce (but not eliminate) GLBL starting on the 28th.

TERP is holding very well, I am surprised. Market seem to accept no dividend as time line no adjustment to it.

Terp wasnt a large holding for me, im still up 20% from the position i bought back in Dec last year.

Well, I have lost a ton and don't know what the right course is. On one hand nothing so far has come out as negative for TERP and Tepper still continues to hold. On the other hand, credibility is in question and that tells me that it could go lower and give me an opportunity to buy again.

There is no reason for the stock to go up.

I too don't think this will prove to anything devastating.  This is a dividend company with a sound business model.  Quality solar and wind projects are not going away.  They need homes. This is all about reputation.  They have to let the auditors do their work.

    Cant believe this debacle.

I am fully loaded with TERP.

Months of this stupid game only to have this happen.

    Not sure next step

I let go of my position as we were debating this. No reason for me to hold right now until I get more clarity from the company. Better to sell now (for me personally and for my level of risk at the moment) and ask questions later. I really like the company but this just gives me too much heartburn. I'll re-evaluate as time progresses. I might miss a big jump if they file sooner rather than later and everything is all right but I'd rather buy until then. I will continue to follow it very closely.

LPV magazine's take on "Appaloosa accepts expedited trial against SunEdison":

    http://www.pv-magazine.com/news/details/beitrag/appaloosa-accepts-expedited-trial-against-sunedison_100023471/#axzz41c6Ifku3

    Quotes from the article:

"The firm also cited several statements by Judge Bouchard which it says supports the possibility of a favorable ruling, including a description of SunEdison’s process to approve the acquisition as “inherently suspect”.

"SunEdison declined to respond to the statements cited by Lowenstein Sandler. In this and other public statements, it is clear that Tepper is seeking a trial not only in court, but a battle in the media."

Not sure why Tepper would want a battle in the media unless he was pretty certain that he would prevail.

However, there could be other problems. Lowenstein Sandler says that SunEdison is counting on a loan from Goldman Sachs which uses collateral in the form of Vivint assets in order to fund the $1.9 billion acquisition. The firm cites statements by Judge Bouchard which warn that he could stop the transfer of assets, which would undermine the basis for this loan.

You've got to think that GS would start to worry about lending $ to SUNE.

    Not happy with this.

Im not sure I want to deal with this any more.

its turned into a S$&t show

My rationale is simple for now.. how can I continue to hold  this company when I have no clue what is going on internally (even if it's a non-issue or just a technical problem). It's too much of a black box and I can't have so much money on it with this level of uncertainty/blindness at the moment.

Of course, as expected right after I sell anything, the stock starts recovering..

I also sold, do not like operating in a dark. I will probably miss things, but logic tells me to cash it.

It's trading very good but I'll give it a few days more for the whole mess to settle.. then I'll re-evaluate.

Same with me and second time in a week (after I sold most CSIQ a week ago on its ER, it stabilized) . After years of investing confirmed this, I'd rather sell to see stock to go up, then sit on a large unrealized loss. No regrets as I'm still significantly exposed via GLBL.

I am holding just because nothing came out against TERP. I am surprised at SUNE recovering

I still hold GLBL but it's a very small portion compared to what I had on TERP. As Robert said, logic dictates to cash in until we get further clarification, even if the stock is trading amazingly well. I honestly don't know what this whole thing will result on, it could be nothing but I don't like holding positions where I don't have visibility. It becomes a binary gamble.
